We, the undersigned, the Guarantor, hereby unconditionally and irrevocably guarantee to the Beneficiary the full and faithful performance of all obligations of the Principal under the Contract. The Guarantor's obligation under this Guarantee shall be independent of any other obligations of the Principal and shall not be affected by any claim, defense or setoff that the Principal may assert against the Beneficiary.

The Guarantor's obligation shall automatically increase to [增加金额] in the event that the Contract Amount is increased by the Principal and Beneficiary.

The liability of the Guarantor under this Guarantee shall not be affected by any extension of time or other indulgence granted to the Principal by the Beneficiary or by any variation or modification of the Contract made by the Principal and Beneficiary which is not specifically approved by the Guarantor in writing.

The Guarantor shall not be entitled to any defenses or setoffs against claims made by the Beneficiary under this Guarantee unless the claim results from the fraud or willful misconduct of the Beneficiary.

Upon receipt by the Guarantor of written notice from the Beneficiary that the Principal has failed to perform its obligations under the Contract, the Guarantor shall immediately pay to the Beneficiary the amount of damages suffered by the Beneficiary as a result of such failure. The Beneficiary's right to demand payment under this Guarantee shall be limited to the Contract Amount, plus any interest and costs incurred by the Beneficiary in enforcing this Guarantee.

The Guarantor's obligation under this Guarantee shall terminate ninety (90) days after the expiration date of the Contract, unless otherwise provided by the terms of the Contract.

This Guarantee shall be governed by and construed in accordance with the laws of the State of [州]. Any disputes arising out of or in connection with this Guarantee shall be submitted to the exclusive jurisdiction of the courts of the State of [州].
