4. The Guarantor's liability under this Performance Bond / Letter of Guarantee shall not be affected by any dispute, claim, or counterclaim arising between the Beneficiary and the Contractor, nor by any change in the terms or conditions of the Contract. This Bond/Guarantee shall be independent of the Contract and shall remain valid and enforceable regardless of the validity, termination, or rescission of the Contract.
5. The Guarantor hereby undertakes to indemnify and keep the Beneficiary harmless against any loss, damage, or expenses arising from the failure of the Contractor to perform its obligations under the Contract.
6. The Guarantor's liability under this Performance Bond / Letter of Guarantee is limited to the amount specified in Clause 1 and shall be payable in [Currency].
7. This Performance Bond / Letter of Guarantee shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any dispute or claim arising out of or in connection with this Bond/Guarantee shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
